description : Identify business objectives of all business verticals, related issues and transactions related thereto to provide a risk/benefit analysis.
Draft, review and negotiate all commercial contractual documentation including but not limited to major financial agreements, consulting agreements, licensing, non-disclosure agreements, terms and amendments for customers and suppliers.
Drive contract lifecycle from drafting through completion of the negotiation process and/or contract execution.
Draft, manage, distribute, respond to, or analyze RFIs, RFPs, RFQs or customer terms and conditions as needed.
Advise business on privacy/IP implications, advertising/promotional matters.
Will be required to maintain a deep understanding of Maruti Suzuki contract templates, contracting policy, legal risk and liability and company position on various matters.
Interpret contracts and advise business managers on contractual responsibilities.
Prepare contract for internal review and approval and ensures compliance with company policies as well as applicable laws and regulations.
Translates business strategy and complex commercial/legal scenarios into simple language and actionable plans of action.
Support M&A and JV activities and related documentation.
Develop training programmes on business critical matters/policies and build awareness amongst employee force.
Understand business and build relationships with business stakeholders to help deliver efficient, compliant and speedy solutions that are sustainable.
As a business partner identify opportunities to drive business forward including but not limited to supporting related transactions, develop legal projects and processes to create legal efficiencies and productivity.
Provide regulatory and compliance advice – in conjunction with the regulatory/compliance specialist for proactive and efficient management of legal and related compliance risks.
Set up appropriate risk mitigation strategies through identification, development and monitoring of key metrics for effective daily management of legal and contractual risk.
Provide leadership, support and mentoring to more junior counsels in the team.
